This Policy sets forth the terms and conditions of the Customer Referral Program ("CRP") of Coronet Cyber Security Inc ("Coro").Â
1. Definitions
1.1. A "Referrer" is an individual who provides Coro information of a Valid Referral Leads.
1.2. A "Valid Referral Lead" is the information of an individual who may be interested in buying Coro products on behalf of and for his organization, provided to Coro by a Referrer, provided that the following conditions are met:
1.2.1. The information of such individual includes the full contact information (including full name, organization name, email address and phone number);
1.2.2. The individual is in a position to make or influence a purchasing decision of cybersecurity products for the organization the individual works for; and
1.2.3. Coro has not been engaged in an active sale process with the organization the individual works for in the last 12 months.
1.3. The "Referral date" is the date on which Coro received the Valid Referral Lead.
2. Communication
2.1. All Valid Referral Leads must be submitted to Coro via email at [email protected], or any other method as defined by Coro.
2.2. Upon Coro's request, the Referrer shall introduce the Valid Referral Lead to Coro.
3. Compensation
3.1. In consideration for a demo meeting booked and completed by an organization (under a Valid Referral Lead), within 30 days of the Referral Date, Coro shall provide the Referrer of such organization one gift card of $20 value, provided that each Referrer's entitlement to gift cards under this Section 3.1 shall not exceed 10 gift cards per year. The compensation under this Section 3.1 shall be made within 30 business days as of the date on which the demo meeting was completed.
3.2. In consideration for a contract between Coro and an organization (under a Valid Referral Lead) for the purchase of Coro products, which is entered into within 90 days of the Referral Date and whose value is greater than $2,000 ("Contract"), Coro shall provide the Referrer of such organization one gift card of $200 value. The compensation under this Section 3.2 shall be made within 30 business days as of Coro's receipt of the first payment under such Contract.
3.3. All compensation under this Policy will be made in the form of digital gift cards only, as decided by Coro; any such compensation is non-exchangeable and non-redeemable for cash.
3.4. Coro shall have absolute discretion whether to conduct a demo meeting or enter into any contract.
4. Miscellaneous
4.1. This Policy shall become effective as of November 1, 2023. Coro reserves the right to amend or terminate this Policy at any time without notice.
4.2. Governing Law and Jurisdiction. This Policy shall be governed by and construed in accordance with the laws of the State of New York. All disputes arising out of or in connection with this Policy will be settled exclusively by a court of competent jurisdiction in New York, New York.
